1.  PERMITTED USE

1.1.  TREDIS is an online service displaying tables and charts of costs, benefits and economic impacts for use in research and analysis studies.  The service is provided by Economic Development Research Group, Inc. ("EDR Group") to authorized users who subscribe for a period of time.  Use of TREDIS constitutes agreement for the user to be bound by the full Agreement stated here.

1.2.  Under this Agreement and subscription, an authorized user (either a subscribing individual or organization) is granted a license to access the TREDIS service and support for the time period, geographic areas and price terms selected on this subscription form and accepted by EDR Group via email confirmation, invoice or other written communication.  All authorized use of TREDIS is by means of a "Login" process, which includes a username and password.  The subscribing individual or organization may allow its paid staff, volunteers and contractors to access the system through its subscription and login, but only for research pertaining to the transportation and economic analysis activities of the specific subscriber or subscribing organization.  

1.3.  No subscription and/or Login for TREDIS may be transferred, assigned or resold to any other individual, organization, subsidiary, parent company or government agency without the prior written permission of EDR Group. Use by other organizations can be arranged, but that requires a separate agreement.  All authorized users agree to notify EDR Group of any known or suspected use of subscriber's login account that is not authorized by this or other agreement with EDR Group.
 
1.4.  TREDIS? and the TREDIS web site content are owned, maintained and operated by EDR Group.  The site consists of material derived from EDR Group's business processes, software and databases, and other databases and services provided by third party vendors, all of which are protected by copyright, trademark and other intellectual property laws.  This content of the web site and its underlying software may not be modified, copied, resold, distributed, reverse engineered or incorporated into derivative works or other commercial products, services or analysis systems without the permission of EDR Group.
 
1.5.  All tables and charts shown on the TREDIS web site are subject to copyright by EDR Group.  A subscribing individual or organization is permitted to use all tables and charts on the TREDIS web site solely for its transportation and economic analysis projects, including inclusion in analysis, reports, presentation, and publications.  However, all use of these materials must include notation crediting it to "TREDIS model, using inputs provided by <name of your agency or the source you used>."

1.6.  A subscription may be suspended at the discretion of EDR Group, if it determines that the subscribing individual or organization has violated the terms of this agreement. The subscription will be reinstated when EDR Group determines that the violation has been corrected.

1.7.  Partner subscriptions are valid only in conjunction with a primary (DOT level) subscription and shares the economic data and options included in the primary subscription.  

1.8.  Partner subscriptions are renewable as long as the primary DOT subscription is active.  The expiration date for the partner subscription is tied to the primary subscription, and renewals of the partner subscription are available only with the renewal of the primary subscription.

1.9.  Each MPO/RPO is considered a unique partner and will require their own Initial Partner Subscription license and must execute the Partner Subscription License agreement.
 
1.10.  Since the partner subscription is linked to an existing primary subscription, it offers the ability to view the shared DOT analyses.  All partner analyses that are shared will be available to the primary subscription holder and any other partner linked to the same primary subscription.

2.  LIMITATION OF LIABILITY

2.1.  The tables and charts provided by TREDIS are intended to be used together with local insight and judgment in evaluating priorities, options and opportunities. All data obtained through TREDIS are provided as of the dates indicated in the tables, charts and documentation materials, and are subject to change and updating without notice.

2.2.  EDR Group provides all data on an "as is" basis.  Because providing the data and the TREDIS  analytic tools involves a process of selection and judgment, EDR Group makes no representations or warranties that such data or the work product of using said such tools will be accurate, complete or error free.  You must exercise your judgment and discretion in relying on the data and the work product, and you do so at your own risk.

2.3.  EDR Group disclaims any warranties (express or implied) with respect to any data or the work product of TREDIS, including without limitation, warranties of merchantability or fitness for any particular purpose.  EDR Group shall have no liability under any legal theory for any damages or losses whatsoever arising from the use of TREDIS, such as, but not limited to, lost profits, even if we have been advised of the possibility of such loss.
